The companies Autostrade Lombarde S.p.A, Società di Progetto Brebemi S.p.A, and Autostrade Bergamasche S.p.A are a compact group that, under the strategic direction of its holding (Autostrade Lombarde), has developed important initiatives in the infrastructure sector, with the goal of coming out of an impasse that has significantly impeded the economic development and change of Lombardy.
The specific mission of Autostrade Lombarde–in addition to the goals set forth in its corporate purpose of fostering transport and telecommunications infrastructure and exploiting its know-how for economic purposes–is to drive the financing and technical, administrative, commercial and financial coordination of the companies and the entities in which it has invested. Therefore, it is also responsible for defining the strategic lines of action and management for its controlled companies and/or associated companies.
Società di Progetto Brebemi S.p.A.–subject to the management and oversight of Autostrade Lombarde S.p.A.–is the holder of the concession for execution of the project, which consists of the construction and management of the new connection for the direct highway between Brescia and Milan. Autostrade Bergamasche is the promotor of the Pedemontana-Brebemi interconnection, and it therefore operates exclusively with the goal of preparing, building and managing the project it promotes, adopting the appropriate organizational and oversight instruments for the activities of the group.
All of the group’s activities must be carried out in complete compliance with the law and the standards and regulations in force. They must also respect the principles of honesty, reliability, impartiality, loyalty, transparency, formality and good faith, as specific in the Code.
With the goal of achieving these objectives, all of the subjects involved in the Group’s activities and all of the people who work at the Group companies–including, for example, everyone from administrative staff, directors, dependents, non-subordinated workers (including, among others, advisors, intermediaries, suppliers, etc.) to the third parties that have contractual relationships with them–are required to respect the Company’s rules and the provisions set forth in this Code, making all of their technical, professional and ethical experience available to the Group.
Every administrator, dependent and worker at the Group companies, and any person who has a contractual relationship with the Group, must know the Code and contribute actively to compliance therewith. To this end, the Group, within the sphere of its competency, agrees to communicate the Code as widely as possible, as well as to provide adequate informative instruments, based on the contents of such.
Any conduct that goes against the principles and spirit of the Code shall be investigated and sanctioned for violating the Group’s principles.
The Group, through the organizations that head up the group Autostrade Lombarde S.p.A. and each and every one of the companies comprised, shall oversee compliance with the standards set forth in the Code. They shall also ensure transparency in the operations performed and the corrective actions implemented in the case of non-compliance, ensuring an appropriate penalization system is in place for the subjects who have violated the referred standards.
In this Code, all references to the “Group” and the “Group Companies” refer equally to each individual company with respect to the activities carried out by such.
This document is an exhibit to the Comprehensive Management System implemented by the Group companies, and is therefore managed in accordance with the guidelines in place for the System itself.
